1. Ownership Transfer

All donated items become the sole property of the Unbridled Charitable Foundation, Inc. upon receipt. Donated items will not be returned to the donor under any circumstances. 

2. Packaging and Presentation

UCF reserves the exclusive right to determine how donated items are presented, marketed, and packaged. Donated items may be combined with other donations or modified as deemed appropriate by UCF, in its sole discretion. 

3. Use of Donations

Donated items may be used in silent auctions, raffles, or other fundraising initiatives in support of UCF’s charitable mission. The specific use of each item will be determined solely by UCF and is not subject to donor approval. 

4. Donation Valuation

UCF will provide the donor with a charitable acknowledgment letter stating the fair market value of the donation as provided by the donor. Donors are solely responsible for accurately determining and reporting the value for tax purposes. UCF makes no representations regarding the tax deductibility or appraisal of donated items. 

5. Use of Promotional Materials

Donors are encouraged to provide promotional materials with their donation; however, UCF reserves the right to use, modify, or decline the use of any such materials at its sole discretion. 

6. Limited License for Branding

The donor grants UCF a limited, non-exclusive, royalty-free license to use the donor’s name, logo, trademarks, and branding materials solely in connection with the silent auction or related fundraising activities. This license expires at the conclusion of the relevant auction or event. 

7. Disposition of Donations

UCF does not guarantee that information regarding the sale, winning bidder, or final disposition of the donated item will be provided to the donor. 

Additional Terms 

8. Condition and Authenticity of Donations

The donor affirms that all donated items are in good condition, complete, and, where applicable, authentic. UCF shall not be responsible for verifying the authenticity or condition of any item and disclaims all liability related to inaccuracies or defects. 

9. Restrictions and Expiration Dates

If a donation includes restrictions (e.g., blackout dates, usage limitations, expiration dates), the donor must provide these restrictions clearly and in writing at the time of submission. UCF reserves the right to modify or decline donations with unreasonable or unclear restrictions. 

10. Delivery of Items

The donor is responsible for ensuring delivery of the donated item to UCF by the deadline provided. UCF is not responsible for shipping, handling, or transportation costs unless otherwise agreed in writing. 

11. Right to Decline Donations

UCF reserves the right to decline any donation it deems inappropriate, inconsistent with its mission, or unsuitable for the auction, at its sole discretion. 

12. No Endorsement Implied

Inclusion of a donor’s name, products, or branding in connection with UCF events or materials does not constitute an endorsement by UCF of the donor, their business, products, or services. 

13. Indemnification

The donor agrees to indemnify, defend, and hold harmless UCF, its officers, directors, employees, volunteers, and affiliates from and against any claims, liabilities, damages, or expenses arising out of or related to the donated item, including but not limited to product defects, personal injury, or intellectual property disputes. 

14. Photo and Media Release

UCF may photograph or record donated items and use such images, recordings, or descriptions for promotional purposes, including print, online, and social media, without further consent or compensation to the donor. 

15. Governing Law

These Terms and Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, without regard to its conflict of law principles. 

16. Entire Agreement

These Terms and Conditions constitute the entire agreement between the donor and UCF regarding the donation and supersede any prior communications or agreements, whether oral or written. 

17. Electronic Acceptance

Submission of a donation through an online form, email, or other electronic means constitutes acceptance of these Terms and Conditions, which are binding upon the donor.
